The Company was incorporated under the Companies Act, No. 7 of 2007, in June 2018 (Registered No. GL00201293). The Board of Directors comprise 3 nominees each from the CCC and ICLP.

Board of Directors

The current members are the founder members of the Board.

Dr. K. Kanag-Isvaran, President’s Counsel (Chairman),
LL.B (University of London) and LLD (Honoris Causa)

Dr. Kanag-Isvaran, a Barrister-at-law of the Lincoln’s Inn. He was a member of the team that drafted the Arbitration Act No 11 of 1995. He served as the Chairman of the Advisory Commission on Company Law and the Intellectual Property Law which drafted the Companies Act, No. 7 of 2007 and the Intellectual Property Act, No. 36 of 2003. He is a leading practitioner in constitutional law, commercial law, intellectual property law, banking law, maritime law and international commercial arbitration and has also co-authored a book on Company Law of Sri Lanka. He was a founding director and currently the Chairman of the Institute for the Development of Commercial Law and Practice, Sri Lanka (ICLP) which has the objectives of developing all areas of commercial law in the country and set up the first institutional arbitration center in Sri Lanka in 1996.

Dr. J. M. Swaminathan, Attorney-at-Law, LL.B. (Ceylon),
LL.M., M. Phil. (Colombo), LLD (Honoris Causa)

Dr. Swaminathan is an Attorney-at-Law with over 59 years in practice and was the Senior Partner of Messrs. Julius and Creasy from 2011 to 2021. He was a Member of the Office for Reparations Sri Lanka. He has served as a Member of the Law Commission of Sri Lanka and Member of the Council of Legal Education and the Council of the University of Colombo. He is also a Member of the Company Law Advisory Commission and the Intellectual Property Law Advisory Commission. He is the Chairman of the Board of Studies of the Council of Legal Education and was also a Consultant at the Institute of Advanced Legal Studies of the Council of Legal Education. He is a Member of the Visiting Faculty of the LLM Course of the University of Colombo. Dr. Swaminathan also serves on the Boards of several public and private companies.

Dr. Harsha Cabral, President’s Counsel

Dr. Cabral counts thirty-five (35) years’ in practice specializing in the field of commercial law covering both civil and criminal aspects. He commands an extensive practice in the Commercial High Courts and the Supreme Court of Sri Lanka. He holds a doctorate in Corporate Law from the University of Canberra, Australia. He was a sitting member of the International Chamber of Commerce (ICC) International Court of Arbitration in Paris for a period of six years till 2021. He is a Representative Member of the Federation of Integrated Conflict Management (FICM) as well as a Representative Member of the International Commercial Disputes Tribunal (ICDT). Dr. Cabral was involved in drafting Sri Lanka’s Arbitration Act. He is a Fellow of the Institute of Chartered Governance Institute (UK & Ireland) and has served as a member of the Board of Investment (BOI) of Sri Lanka. He’s a member of the Law Commission of Sri Lanka, a member of the Intellectual Property Advisory Commission in Sri Lanka and the Chairman of the Intellectual Property Law Reform Project of the Ministry of Justice, a member of the Corporate Governance Faculty and the Corporate Governance Committee of the Institute of Chartered Accountants of Sri Lanka, and the nominee of the University Grants Commission (UGC) on the Post Graduate Institute of Medicine (PGIM). He serves as an independent non-executive Director on several corporates including as Chairman. Dr. Cabral is a senior visiting lecturer at several Universities in Sri Lanka and overseas and is the author of many books. He has extensive experience as a counsel in Arbitrations and has served as Sole-Arbitrator, Co-Arbitrator and Chairman.

Mrs. Dhara Wijayatilake,
Attorney at Law, LL.B. (Ceylon)

Mrs. Wijayatilake is an Attorney at Law and a graduate in Law and counts over 49 years in the legal profession. She served in the Public Service of Sri Lanka for over 40 years commencing her career as a Legal Assistant in the Supreme Court and later the legal division of the Ministry of Justice. She rose to the position of Secretary to the Ministry becoming the first woman to be appointed as a Secretary to a Cabinet Ministry. Mrs. Wijayatilake also subsequently functioned as the Secretary to the Ministry of Plan Implementation and the Ministry of Technology and Research. In the field of ADR, Mrs Wijayatilake led the team that drafted the Mediation Boards Act (1988) and was responsible for the establishment of the first community Mediation Boards and also conceptualized and authored the Mediation (Special Categories of Disputes) Act (2003). She also functioned as the Chairperson of the Commercial Mediation Center of Sri Lanka (2016-2018).

Mrs. Wijayatilake has served as a member of the Sri Lanka Law Commission, on the Editorial Board of the Sri Lanka Law Reports and on the National Committee on Women. After retirement from the Public Service Mrs. Wijayatilake served as a Member of the Public Service Commission (2015-2019), and as the Secretary General & CEO of the Ceylon Chamber of Commerce (CCC) (2016- Jan 2020) during which time she played a key role in establishing the CCC-ICLP International ADR Center. She is currently a Director and the Secretary General of the Center. She has been trained in Mediation including at the Chartered Institute of Arbitrators (CiArb), UK and the Singapore International Mediation Center. Mrs. Wijayatilake has also served as an Independent Non-Executive Director and later Vice Chairperson of a public quoted company (2011 – 2020).

Mrs. Dilani Alagaratnam, Attorney at Law,
LL.B., LL.M. (Sri Lanka)

Mrs. Alagaratnam is an Attorney-at-law with over 35 years of practice. She has been trained in mediation at the Chartered Institute of Arbitrators, United Kingdom. She chairs the Legislation Sub-committee of the Ceylon Chamber of Commerce, is a member of the Advocacy Committee of the Sri Lanka Institute of Directors, a Board director of Women’s Fund Asia, a regional women’s fund, committed to supporting women, girls, trans, and intersex people led interventions to enhance and strengthen access to their human rights, a member of the Women’s Advisory Committee to the Skills Sector Development Programme of the Ministry of Education. Mrs. Alagaratnam retired from John Keells Holdings PLC, one of the largest listed conglomerates in Sri Lanka in December 2019. She was a member of its Group Executive Committee, the apex executive committee of the Group, for nearly 2 decades and had Group level responsibility for the Functions of Legal & Secretarial; Human Resources; Enterprise Risk Management; Sustainability and CSR; Group Sourcing and the business of John Keells Office Automation. She has served as a director in many group companies and was a director of Information Communication and Technology Agency of Sri Lanka. Mrs. Alagaratnam also held the position of Council Member of the Sri Lanka Institute of Directors and was a long-standing member of the National Labour Advisory Committee.

Mrs. Shehara Varia, Attorney at Law, LL.B.,
LL.M., FCiArb.

Mrs. Varia is a partner of F.J & G. de Saram, Attorneys at Law in Sri Lanka and heads the Mergers and Acquisitions and Employment practice groups of the Firm. She is a Director of the Sri Lanka branch of the Chartered Institute of Arbitrators of the UK. Mrs. Varia is a Member of the Council of Management of the Institute for the Development of Commercial Law and Practice, Sri Lanka (ICLP) and holds the post of Secretary General (Honorary) of the ICLP Arbitration center. Mrs. Varia has an LL.M. in International Trade Law from the University of Wales and an LL.B. from the Open University of Sri Lanka and is a Fellow of the Chartered Institute of Arbitrators UK. She has a diploma in International Arbitration from CiArb UK and is also an accredited Mediator from the London School of Mediators.
